These Terms & Conditions ("Terms") govern your use of the Deepen Diamonds mobile application (the "App") provided by Deepen Diamonds ("we", "us", "our"). By downloading, accessing or using the App, you agree to these Terms. If you do not agree, do not use the App.
The App is for approved business (B2B) trade accounts only. Accounts are provisioned by Deepen Diamonds; there is no public self-registration. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorised use.
You may use the App only for lawful business purposes in connection with your trade relationship with Deepen Diamonds. You agree not to:
Inventory, certificate data, pricing, discounts and availability are provided for information and may change without notice. They are sourced from Deepen Diamonds' order/inventory system and may not always reflect real-time status. Nothing in the App is a binding offer of sale.
Placing a hold submits a request through the App. A hold is typically kept for a limited period (e.g. up to 48 hours) and is subject to confirmation and availability. We may modify or release holds in accordance with our business policies.
By using the App you agree to receive service communications, including push notifications and, where you provide a number/email, WhatsApp, SMS or email messages relating to your account, holds and enquiries. You can manage push notifications in your device settings.
The App and its content (excluding your own submitted content) are owned by or licensed to Deepen Diamonds and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your permitted business purposes. All other rights reserved.
You retain rights to content you submit (e.g. chat messages and images). You grant us a licence to use it as needed to operate the App and respond to you. You are responsible for ensuring you have the rights to submit such content.
The App relies on third-party services (e.g. Apple, Google, WhatsApp Business, hosting and messaging providers). Your use of those services may be subject to their own terms. We are not responsible for third-party services.
The App is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, accuracy, or non-infringement, to the maximum extent permitted by law.
To the maximum extent permitted by law, Deepen Diamonds shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill, arising from your use of (or inability to use) the App.
We may suspend or terminate your access to the App at any time, including if you breach these Terms or your trade relationship with Deepen Diamonds ends.
We may modify or discontinue the App, and may update these Terms from time to time. Material changes will be notified in the App or by other reasonable means. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of [jurisdiction / country], without regard to
conflict-of-law principles. The courts of [jurisdiction] shall have exclusive
jurisdiction, subject to any mandatory protections.
